Agreement to TermsThese Terms of Use constitute a legally binding agreement made between you and ImagePromptify ("we," "us," or "our"), concerning your access to and use of our mobile application (the "Image to Prompt").
By downloading, accessing, or using the App, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the App.
Intellectual Property RightsThe AppThe App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Your ContentBy uploading images to the App for prompt generation, you retain all ownership rights to your original content. However, you grant us a non-exclusive, royalty-free, worldwide license to temporarily use, process, and manipulate your images solely for the purpose of providing our services to you.
Generated PromptsThe text prompts generated by our App based on your images are provided for your personal use. While you may use these prompts for personal or commercial purposes, we make no claims regarding ownership of the AI-generated text prompts.
User RepresentationsBy using the App, you represent and warrant that:
- You have the legal capacity to accept these Terms.
- You will use the App in accordance with these Terms.
- You will provide truthful and accurate information.
- You will maintain the security of your account.
- You have the legal right to upload and process any images you submit.
- Your use of the App will not violate any applicable law or regulation.
Prohibited ActivitiesYou may not access or use the App for any purpose other than that for which we make it available. You agree not to:
- Systematically retrieve data from the App to create a collection or database.
- Trick, defraud, or mislead us or other users.
- Circumvent, disable, or interfere with security features of the App.
- Disparage, tarnish, or otherwise harm us or the App.
- Use the App to process illegal, harmful, threatening, abusive, or otherwise objectionable images.
- Use the App in any manner that could disable, overburden, damage, or impair the App.
- Use any robot, spider, or other automatic device to access the App.
- Attempt to reverse-engineer any portion of the App.
- Delete copyright or other proprietary rights notices from any portion of the App.
- You must not upload copyrighted, illegal, or offensive content.
In-App Purchases and SubscriptionsFree TrialThe App offers a limited free trial that allows you to process one image. Additional use requires purchase of a subscription or other in-app purchase options.
Subscription TermsWhen you purchase a subscription:
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account will be charged for renewal within 24 hours prior to the end of the current period.
- You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.
- No refund will be provided for the unused portion of a subscription period.
Price ChangesWe reserve the right to change subscription prices at any time. Any price changes will be communicated to you and will only apply to subsequent subscription periods.
App Updates and ChangesWe reserve the right at any time to modify or discontinue, temporarily or permanently, the App (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.
TerminationWe may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease.
Limitation of LiabilityIn no event shall we, our directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the App;
- Any conduct or content of any third party on the App;
- Any content obtained from the App; and
- Unauthorized access, use or alteration of your transmissions or content.
Our liability shall be limited to the maximum extent permitted by law.
DisclaimerThe App is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the operation or availability of the App. You expressly agree that your use of the App is at your sole risk.
We do not guarantee that the AI-generated prompts will be accurate, complete, or meet your requirements. You acknowledge that AI technology has limitations and may produce unexpected or undesired results.
Governing LawThese Terms shall be governed by and defined following the laws of [Your State/Country]. ImagePromptify and yourself irrevocably consent to the exclusive jurisdiction of the courts in [Your City, State/Country] for any litigation arising out of these Terms.
Changes to TermsWe reserve the right to update or change these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. You are advised to review these Terms periodically for any changes.
SeverabilityIf any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
